I'm forming a single-member LLC in my state and the Articles of Organization form has a line for 'Organizer' signature. Do I really need to sign it myself as the owner, or can I have my lawyer or a registered agent sign it? I want to avoid mistakes that could invalidate the filing.
Who should sign the Articles of Organization for a new LLC?
The organizer is just whoever files the paperwork. It doesn't have to be the owner. I had my accountant sign mine and it was fine. But why pay someone? Just sign it yourself.
Actually, in most states the organizer can be any person but it's cleaner to have the owner sign if you're the only member. Some banks get picky later. What state are you in?
I'm a paralegal and I've filed hundreds of these. It literally doesn't matter who signs as organizer—it's nott a binding contract. Just don't leave it blank. I've seen people try to sign with a stamp. That gets rejected.
Sign it in your own blood for maximum legal binding. Kidding. But seriously, just sign it. Unless your lawyer insists otherwise, it's a non-issue.
Thanks, all. I'm in Florida if that changes anything. Sounds like I'll just sign it myself and skip the extra fee.
Florida here. You're fine signing as organizer. No extra paperwork needed. But if you use a registered agent service, some of them will sign as organizer for you—just read their terms. I wouldn't bother.
Only thing I'd add: make sure the name on the articles matches your ID exactly. I had a client who signed as 'Mike' instead of 'Michael' and it caused a delay at the bank. Minor but annoying.
Yeah, banks are the real hurdle. The articles themselves are easy. Just don't overthink it.
