I formed a single-member LLC last year and have been using my SSN for everything because I have no employees. My accountant friend mentioned I might still want an EIN. Is it really necessary or just a nice-to-have? I keep seeing conflicting info online.
When does an LLC actually need a separate EIN?
Separate EIN is generally required if you have employees, file certain excise returns, or need to open a business bank account (most banks ask for one). For a single-member LLC with no employees, it's not always mandatory, but many people get one anyway to avoid giving out their SSN.
Also if you elect S-corp or partnership taxation, you absolutely need one. But if you're just a disregarded entity, the IRS doesn't force it. That said, I got one for my SMLLC just because it felt cleaner.
what about hiring a contractor? Do you need an EIN to issue a 1099?
If you're the one filing the 1099, you can use your SSN as the filer, but it's a lot safer to have an EIN. Some payors or platforms might require it too.
I applied for an EIN for my single-membr LLC and it took like 10 minutes online. No reason not to unless you're worried about extra paperwork. But there's no annual fee or anything.
Wait, there's a lot of bad info in this thread. The IRS does not require an EIN for a single-member LLC unless it has employees, files excise taxes, or elects corporate status. A bank might require it, but that's a business decision, not a legal one. Also, using your SSN on W-9s isn't the end of the world. I ran a consulting LLC for years with just my SSN and never had issues. That said, I eventually got an EIN cuz one client's AP system wouldn't accept a personal SSN. So it's practical, not always required
JoeFromTheCoast is right. There's a difference between what's required by the IRS and what's required by banks or clients. I'd add that if you ever want to hire your first Employee, you'll need an EIN before you can run payroll. So if growth is on the horizon, just get one now.
tallgrass makes a good point. I think the confusion comes from people mixing up banking requirements with tax requirements. To the OP: you can operate without one, but it's not a bad idea to get one.
So the consensus seems to be that it's not strictly required for a disregarded SMLLC, but most people get one anyway for privacy or banking. I guess I'll just apply for one to be safe. Thanks for the clarifications
I'd also check if your state requires an EIN for certain licenses or permits. Some cities ask for it when you register for a business license even if the IRS doesn't require it.
Good to know. I think I'll get one too. Better safe than sorry.
I feel like this thread sums up the whole "it depends" nature of LLC stuff. At least now I know I'm not crazy for being confused.
Yeah, the IRS rules are one thing, but practical stuff like banking and client onboarding is what usually pushes people to get an EIN. If you're planning to stay tiny and use your SSN, that's fine, but don't be surprised if a vendor gives you grief about it later.
