Filing my first LLC in MS soon. Website makes it sound like I legally must have a registered agent. Is that true? I work from home, no storefront. Can I just be my own? Or is this something I really need to pay a service for?
Is a registered agent necessary for every Mississippi LLC?
Yes, you need one. No, you don't have to pay a service. If you have a physical MS address during business hours, you can be your own. I did that for years until I moved.
Required by statute, but 'registered agent' is just the person/company that gets served if someone sues you. It doesn't have to be a separate business. Most people overthink it.
My cousin used one of those $50 online services. Then his LLC got administratively dissolved because they missed forwarding his annual report notice. So yeah, cheap isn't always better.
@BiloxiBeagle that's a service quality issue, not a reason to avoid all agents. Some people legitimately need one if they travel or don't want their home address in public filings.
Wait, public filinngs? So if I'm my own agent, my home address is on the Secretary of State website for anyone to see? That bothers me more than the fee.
Correct. That's the real argument for a commercial agent, especially for home-based businesses. Privacy, not legal necessity.
lol I used my apartment address and got a process server knocking at 7am because a former client sued the LLC over a refund. Fun times. Switched to a service after that.
Okay so it sounds like the answer is 'yes you need one, but it can be you.' The address privacy thing is what's bugging me now.
I'd just use a PO box and call it a day. Nobody's serving papers at a PO box though, so that won't work. Never mind.
@kudzu_queen a PO box is not a valid registered agent address in MS. Has to be a physical street address.
Right. I just bit the bullet and pay a registered agent service. It's like $100/year and keeps my home address out of the filings. Worth it for me.
Honestly the $100/year is cheaper than the anxiety of a stranger showing up at your door With an envelope. Ask me how I know.
