Can I use an Alaska LLC for a business that operates across several states?

I'm starting a small online retail business that will ship to customers in multiple states, but I live in Alaska. I keep hearing about Alaska LLCs being good for privacy and no state income tax. Can I form an LLC in Alaska even if most of my business happens outside the state? Would I need to register in every state I sell into? I want to do this right and not get hit with penalties.

You can form an Alaska LLC, but that doesn’t automatically let you do business elsewhere. Most states require you to register as a foreign LLC once you have a physical presence or meet their definition of doing business. Sales alone don’t always trigger it, but shipping and having inventory in a state might

What lowtide said. I’d look at the secretary of state websites for each state where you have warehouses, employees, or significant sales. Some states are stricter than others. Also, Alaska has no state sales tax, but you still have to deal with sales tax in other states potentially.

I looked into this for my consulting business. Ended up forming in my home state because the annual fees and foreign registration costs in other states made the Alaska privacy benefit not worth it. But if you’re just selling online, it might be simpler. Do you have a physical location outside Alaska?

No, OP said online retail. But even then, if you use a fulfillment center in another state, that can create nexus. You need to check each state’s rules. It’s a lot to keep up with.

Alaska LLCs are popular for privacy because the state doesn’t require member names to be public. But operating arcoss state lins means you’ll likely need to register in those states anyway. And once you register as a foreign LLC, your privacy might be reduced depending on the state’s disclosure rules. Something to consider.

I’d talk to a business attorney or CPA who knows multi-state issues. Not worth guessing. A mistake can be costly.

Are you planning to hold inventory yourself in Alaska? If so, you might not need to register elsewhere until you have a warehouse or employees out of state. But sales tax economic nexus is a separate thing. Many states have thresholds like $100k in sales or 200 transactions. You’d need to register for sales tax permits there, but that’s not the same as registering your LLC.

Following cuz i’m in a similar situation. From what I gather, an Alaska LLC works fine for the LLC itself, but you still have to comply with other states’ foreign qualification requirements. And if you’re selling taxable goods, you’ll need to collect and remit sales tax in states where you have nexus. That’s a lot of paperwork.

One more thing: Alaska has an annula report due every two years, I think? And a $100 fee. But if you register in other states, you’ll have their annual fees too. Just budget for that.
