I formed an LLC in Colorado about a year ago and I'm confused about the annual report. I got a postcard in the mail saying I owe money but it looked sketchy. How do I actually find out when it's due and what the real deadline is?

Colorado requires an annual report due two months after your formation anniversary. So if you formed in March, it's due by the end of May. You can check the Secretary of State website under business search.

Ignore the postcard. Those are third-party services charging way more than the state fee. Always go to the official state site.

What tundrafox said. I almost paid one of those until I checked the actual state site and saw it was only $25.

For Colorado specifically, you file through the Secretary of State's online portal. You need your business ID number. If you don't have it, you can search by business name.

I found the portal. It says my next report is due May 31. But I formed in March, so that's two months after. Good to know the postcard was a scam.

Make sure you actually submit it. Dont just look at the due date and forget. The late fee in Colorado is $50.

Also, the state site will send email reminders if you sign up. That's how I remember mine.

Is the Colorado annual report a separate thing from the business license? I'm in a different state but thinking of expanding.

tundrafox

Yes, it's separate. The annual report is just to keep your LLC in good standing. Business licenses are usually local or county.

And some states call it a statement of information or something else. Colorado just calls it annual report.

One more thing: if you miss the deadline, you can still file late but you have to pay the fee. After a while they can dissolve your LLC.

I set a calendar reminder for two weeks before the due date. Works for me.

Does anyone know if the fee changes based on revenue? I thought I saw something about that.

cloudypeak

No, Colorado's annual report fee is flat. It's Not based on revenue.

I just filed it online. Took five minutes. Thanks for the help, everyone.
