I missed an LLC tax deadline

So I just realized I completely missed the deadline for filing my LLC's annual report and paid the fee late. Am I totally screwed? This is my first year running things and I'm kind of panicking. What happens now? Do I just pay a penalty or is there more to it?

Depends on your state. Some are chill, some will dissolve your LLC faster than you can say 'registered agent.' What state are you in tbh?

TundraTrail

You're probably fine. Just pay the late fee and file ASAP. I missed mine by two months last year and nothing happened except a $50 penalty. It's not the IRS knocking on your door, it's the state.

First year LLC and already missing deadlines. Welcome to small small business ownership! Next you'll forget to pay estimated taxes and really get the party started.

PineappleSkeptic

Not enough info. Is this the annual report or an actual tax return? Those are two different things with different consequences. Annual report late = usually a fee. Tax return late = penalties and interest. Which one?

coffeeandchaos

Yeah, that's the key question. OP said 'annual report and paid the fee late' so sounds like the state filing, not federal taxes. But then mentions 'tax deadline' in the title. Confusing.

Call your state's Secretary of State office. They'll tell you exactly what you owe and if your LLC is still in good standing. Takes 10 minutes. Way better than asking strangers on a forum.

Or division of corporations, or whatever your state calls it. Some states have online portals where you can check your status instantly. Do that first.

GrumpyGolfer

Also, if you're a single-member LLC, and didn't elect corporate tax treatment, you might not even have a separate federal return due. It just flows through to your personal return. So depending on what you missed, the 'tax deadline' part might be a non-issue.

This. I spent a week freaking out about a missed deadline that turned out to be nothing because my LLC is a disregarded entity. The state annual report was the only real requirement.

TundraTrail

But if you're in California, good luck. They'll hit you with a $250 penalty minimum for late annual reports. Ask me how I know.

LateNightTaco

How do you know?

TundraTrail

Because I paid it. Twice. Don't be like me.

RustyNail_88

Also check if your state offers a first-time penalty abatement. Some do if you have a clean history. Worth a phone call

And set a calendar reminder for next year. Honestly the most useful thing I ever did was put every filing deadline in my phone with a two-week warning. Saved me from this exact panic.

PineappleSkeptic

OP hasn't responded in a while. Probably either fixing it or having a meltdown. Either way, the answer is almost certainly 'pay the the fee, file the thing, move on.'

GrumpyGolfer

Or they're on the phone with the state, which is a special kind of hell. Good luck, MidnightOwl. Let us know if your LLC survives.
