Can a Washington LLC own a business in Oregon?

I have a Washington LLC and I'm looking at opening a second location in Oregon. Does anyone know if my WA LLC can directly own/operate a business in Oregon, or do I need to register as a foreign LLC there? Any gotchas?

Yes, you'll need to register your WA LLC as a foreign LLC in Oregon. File with the Secretary of State and pay the fee. Also, you'll need a registered agent with an Oregon addresd.

What Rainy said. But double-check tax stuff. Oregon has a corporate activity tax (CAT) that might apply depending on revenue.

I did this a few years ago. Registering was straightforward, but the annual report fees in Oregon are higher than WA. Also, make sure yourr WA registered agent can also serve in Oregon or get a separate one.

Any reason not to just form a separate Oregon LLC? Might be simpler for liability and tax es.

Separate LLC means separate books, separate fees, and possibly double taxation if not structured right. If it's the same business, foreign registration is usually cleaner.

Also, check with a CPA. I'm not one, but I've heard Oregon's tax rules can be tricky for out-of-state owners owners.

You'll also need to get an Oregon business license if yur city requires it. Portland has its own biz license, for example.

And don't forget to update your WA LLC's annual report to reflect the new Oregon activity if required. Sometimes people miss that.
