I filed my LLC paperwork last week for 'Blue Harbor Roasting Co.' and the state came back approved. I got the certificate yesterday. My question is does state approval mean the name is mine and nobody else can use it? I'm getting ready to order packaging and signage so I want to be sure before I spend that money.
The state approved my LLC name but does that mean I'm safe?
No, it doesn't mean that. The secretary of state only checks that your your name isn't identical to another registered entity in that state. It doesn't check unregistered names, out of state businesses, or whether someone has trademark rights. State approval and trademark protection are separate things.
Do a search on the USPTO database anyway. Even if you don't plan to register, you want to know if Someone already has a mark close to yours in the same class. Also look up common law use, a business using the nmae without a registration still has rights in its local area.
I hadn't thought about common law at all. So even without a federal registration someone could come after me if they've been using the name? How would I even find out about that?
Search engines, social handles, local business registries, domain records. Not exhaustive but it catches the obvious ones. A formal search service exists too but that's usually overkill for a small roaster.
This comes up a lot. People see the certificate and think it's a trademark. It's not, it's just permission to operate under that name in the state's eyes.
Adding to that, the state will often let two businesses with similar but not identical names operate at the same time. That's why the name check matters less than people assume. Federal registration gives you broader rights, but it's a longer and more expensive process than filing the LLC.
If you're going to spend money on packaging, spend a little on a proper clearance search first. Cheaper than rebranding later.
Appreciate the replies. Sounds like the certificate is just a starting point and i should do the searches before I commit to the packaging. Is there anything affordable for someone who just wants to check before ordering signs?
Honestly for a coffee roaster, search the USPTO site yourself by class, check your state's business search, and spend an afternoon on Google and the social platforms. That covers most of the risk. The paid searches are for when you're serious about registering or the name is central to your brand.
