Filed my LLC paperwork last month, got the approved Articles back today. Everything looks fine except the registered agent address is missing the suite number. I definitely typed it into the form. Is this something I need to file a correction for, or can I just... ignore it? It's a small office building, mail usually finds me.
My Articles of Organization were approved but the address is wrong
Ignore it at your own risk. The state sends official stuff there. If it bounces, you could get administratively dissolved and not even know.
Which state? That matters a lot. Some are super picKy about the registered agent address matching exactly.
Ohio. And yeah, that's my worry. I don't want to pay a filing fee over a suite number but I also xon't want to screw myself later.
Ohio actually has a pretty straightforward correction process. I think it's like $50? Could be worse.
lol @ "mail usually finds me." Famous last words. The one piece of mail that actually matters will be the one that gets returned to sender.
Also if you used a commercial registered agent service, check with them first. Sometimes the state's system truncates addresses and it's not actually your form that was wrong.
This happened to me in a different state. I called the secretary of state office and the woman told me to just file the correction because the record is what the record says, regardless of what I typed. Annoying but whatever.
SquidInkPens is right. The form you submitted doesn't matter. The approved document is the legal record. Fix it now while it's cheap.
Fair enough. I'll call them tomorrow, and confirm the fee before I file anything. Appreciate the reality check, even the sarcastic one.
You're welcome. Honestly though, for $50 just do it. Think of it as insurance against a very dumb fuyure headache.
One more thing, make sure the correction form is the one for the Articles and not the annual report. I mixed those up once and wasted a whole afternoon.
And save a PDF of the corrected approval when it comes back. You'll want it for the bank.
