Does a Rhode Island LLC need a separate license for online services?

I just formed a single-member LLC in Rhode Island. My business is entirely online , I sell digital templates and do some freelance design work through my own website. Do I need a separate state license to offer these services online, or does the LLC formation cover me? I've looked at the Secretary of State site but it mostly talks about retail and food. Any pointers would help.

There’s no general state business license in RI. You register with the Secretary of State, and then it depends on what you actually do. Selling digital templates probably doesn’t need an extra state license, but if you’re doing design work, check local zoning if you ever have clients visit. If it’s all remote, you’re likely fine beyond the annual report.

Depends on whether you’re collecting sales tax. Digital goods can be taxable in RI if you hit certain thresholds. That’s a tax registration, not exactly a license, but it trips people up.

no separate license for online services specifically. The LLC just separates your personal liability. You might need a sales tax permit if you sell tangible goods, but pure services usually aren’t subject to sdales tax. Templates could be considered digital products though, so call the Division of Taxation to be sure.

Thanks. So the annual report is the main ongoing filing? I’m not selling physical goods, just downloadable fikes and my time. I’ll look into the digital product sales tax angle.

Also check if your city or town requires a local business license. Providence and a few others have their own registration for home-based businesses. It’s not state-level but it can still apply.

The Secretary of State doesn’t issue a general license. They just handle entity filings. The only state-level thing you might need is a sales tax permit if you meet the nexus rules for digital sales. Otherwise, your LLC filing is enough.

One more thing: if you’re doing freeelance design, some clients might ask for a business license as part of their vendor onboarding. In that case, a simple home occupation permit from your city can satisfy them. It’s not mandatory at the state level, but it helps.

I’d second calling the Division of Taxation. They’re pretty straightforward. When I started my LLC they told me that services aren’t taxable, but pre-written digital templates Might be. It depends on how they’re delivered.

Forgot to mention: if you ever hire anyone or rent a workspace, workers’ comp and zoning come into play. But for a solo online operation, the annual report and tax registration are the main items.
