Does every state issue an LLC certificate after approval?

I formed an LLC in my home state last year and got a nice certificate of formation in the mail. Now I'm filing a foreign LLC registration in another state for a side project, and their portal just shows "approved" with a downloadable PDF. No physical certificate. Is that normal? Do some states just not issue a formal certificate after approval, or is it something I need to request separately?

No, not every state issues a separate certificate. Many just send an approval notice or make the filed articles available online. The certificate is more of a courtesy in some jurisdictions ngl.

Which state are you filing in? That matters a lot. Some portals only generate a plain approval email, and the official record is just the stamped articles.

I've registered in three states and only one sent a physical certificate. The others gave me a PDF or just an email. For banking and leases, the approval PDF plus the filed articles worked fine.

It's a foreign registration in Nevada. The portal shows approved and lets me download the filed application, but there's no separate certificate document.

Nevada doesn't issue a certificate for foreign registration the way some states do for formation. You get the filed copies. If a bank insists on a certificate, ask the state whether they offer a certified copy instead.

This trips people up because the word certificate gets used loosely. A certificate of formation, a certificate of good standing, and a certified copy are all different things. Most states issue at least one of them, but not necessarily right after approval.

Right. And even when a state does issue a certificate, it's often optional or costs extra. The approval itself is what creates the LLC or authorizes the foreign registration.

I ran into this with a client's foreign registration. The portal said approved but no document was generated. We ended up ordering a certified copy from the state for the bank. Took about a week.

Is the side project actually operating in Nevada, or is this just a registered agent address? Because if you don't have a physical presence there, you may not need foreign registration at all. That's a separate issue from the certificate.

There's a small office and one employee there, so registration is required. The certificate question came up because the landlord's lease template asks for one.

Landlords often accept the approval notice plus the filed articles. You could also show the state's business search page listing the foreign registration as active.

One more distinction: a certificate of good standing is usually requested later, not at approval. If the lease asks for a certificate, they might mean good standing. Worth clarifying with them before you order anything.

Nevada's portal is not great about generating separate documents. Everything is in the filed copies section. I'd download and save those now, because older filings sometimes get harder to retrieve from the portal.

Also check whether the state offers a certified copy of the foreign registration application. That's usually what third parties want when they say certificate. It's not automatic, but it's available on request.
