Articles of organization and operating agreements are easy to confuse

I'm starting a small LLC and keep seeing these two terms used almost interchangeably. From what I gather, the articles of organization are filed with the state, and the operating agreement is an internal document. But I'm not fully clear on which one I actually need to draft myself versus just file. Can someone break it down?

Articles of organization is the filing. Short form, state fee, gets you registered. Operating agreement is the private contract between owners about how the company runs. Two completely different documents.

Your state's filing office usually has a template for the articles. The operating agreement you generally have to put together yourself. Nobody at the state checks it.

One thing that tripped me up: some states don't legally require an operating agreement at all. But banks and sometimes courts will ask for one anyway. Mine did when I opened a business account.

Good pooint above. We got asked for ours during a lease negotiation. Landlord wanted to see who had authority to sign.

Which state are you in? That changes the answer a bit.

I'm in Colorado if that helps.

In Colorado the articles are filed with the Secretary of State. Very shoort online form. The operating agreement is not filed with them.

I'd add that the operating agreement covers things like ownership percentages, voting, profit splits, what happens if someone wants out. The articles usually don't go into any of that.

Right. Articles are basically public notice. Operating agreement is your private rulebook.

dpackard

Single member or multiple? If it's just you, the operating agreement can be pretty short. Still worth having one.

Also worth noting that people sometimes file articles and then never write an operating agreement. It works until there's a dispute or a bank asks. Then it's a headache.

mossybank

Not a lawyer but I've seen templates for both online. The articles template needs to match your state's format exactly or it gets rejected. The operating agreement is more flexible.

Our accountant asked for a copy of the operating agreement last year during tax prep. Just to confirm ownership structure.

I think the confusion comes from the names. 'Articles' sounds like a contract and 'operating agreement' sounds like something you file. It's the other way around.

kettleandco

That's exactly it. I mixed them up for months.

One more thing: if you ever add a partner or slel part of the business, the operating agreement is what you'll be amending. The articles only get amended for certain structural changes.
