Just got my LLC articles accepted in NY and then hit with a notice saying I have to publish something in a county-specific newspaper. Why does the county matter so much? I formed it online, no office yet, but they said I need to publish in the county where the LLC is located. How do they even determine that if I don't have a physical location? This feels like a weird extra step.
Why does my New York LLC need a county-specific publication notice?
Because NY law says the publication has to be in the county where the the LLC's principal office is located, or if none, the county where it does business. If you didnt list a county, they assign one based on your address. It's an old rule from the 1800s to notify locals about new businesses.
I think it's just a way for local newspapers to stay afloat. Mine cost $300 for two papers. Total scam.
Not a scam, just outdated. County-specific because each county has its own designated newspapers. You have to publish in two papers in that county for six weeks. The county is usually where your registered agent is located if you didn't specify a principal office.
Yeah, and if you don't do it within 120 days, your LLC's authority to do business can be suspended. So don't sleep on it.
Wait, so if I form an LLC in NY but live in California, which county? Do I just pick one? I'm confused.
If you don't have a physical office in NY, you'd use the county of your registered agent. If your agent is in Albany County, you publish there. Otherwise, you might need to use the county where you plan to do business.
I used a service that handled it for me. Cost extra but saved the headache. Still think it's a rackett.
Next they'll make you hire a town crier to announce your LLC. County-specific newspaper? What year is it?
So basically I need to figure out my county before I even start. Thanks for the info, all.
So it's Tied to registered agent county if no office. I used a registered agent service in Erie County. I guess I'll look up the newspapers there. Still annoyed but at least it's clearer.
