I'm trying to file a simple LLC for a small consulting side gig. The state website's instructions are a mess. Step 3 says to attach an 'operating agreement' but the form doesn't have a field for it. Then step 5 mentions a 'registered agent consent' that I can't find anywhere. Has anyone else dealt with this? I feel like I'm missing something obvious.
The filing instructions made a simple LLC application confusing
Which state are you filing in? That makes a huge difference. Some states have their own weird quirks.
i fiiled in Colorado last year and had a similar issue. The operating agreement doesn't get filed with the state at all in most places—it's an internal document. The instructions probably just mean you should have one, not submit it. As for the registered agent consent, that might be a separate form you download from the site. Check the 'forms' section, not the online filing flow.
It's Wyoming. I'll look for a separate consent form. So the operating agreement is just for my own records? The instructions really made it sound like it needed to be uploaded.
Wyoming's site is actually pretty good but the instructions haven't been updated since they switched to the new portal. I remember the registered agent consent being a downloadable PDF you fill out and then upload as an attachment at the very end. It's not part of the main form.
This is why I just paid a service. The fees are annoying but at least they know the quirks.
Honestly for a single-member LLC the operating agreement is barely necessary but some banks ask for it when you open a business account. So it's good to have one even if you never file it.
Also doublqe-check if Wyoming requires a publication notice. I think they don't, but some states do and it's buried in the instructions.
They don't. But the annual report fee is due the first day of the anniversary month, not the end. That tripped me up.
