My Massachusetts LLC has been inactive since I formed it

I formed an LLC in Massachusetts back in 2021 for a side project that never got off the ground. I never did anything with it—no bank account, no revenue, no contracts. But I also never filed a dissolution. I just got a notice from the state about annual reports. What's the actual status of an LLC that's been sitting there? Am I going to get hit with penalties for the years I ignored?

Massachusetts doesn't automatically dissolve an LLC just because you don't use it. You probably owe annual report fees for each year since formation, and there may be a late penalty on top. The notice is likely the state's way of flagging that you're behind.

Did you ever file the initial annual report? That first one is due within about three months of formation. If you skipped it, the LLC might already be administratively dissolved by now.

Check the state's corporate search before you assume anything. My cousin had an LLC here that got dissolved for non-filing and he never got a single letter about it.

Right, the online entity search will show status as active or dissolved. If it's dissolved, the fees still don't vanish—they usually have to be paid before you can reinstate or formally close it.

What's your goal here? If you want to keep it dormant, you still have to file and pay the annual report each year. If you're done with it, dissolution is cleaner than letting it sit.

I had a similar situation a few years back. The penalties added up but it wasn't catastrophic. I ended up filing the missing reports and then dissolving in the same year. Cost maybe a couple hundred total between the fees and the filing.

Also be aware that even an inactive LLC has to file a Massachusetts tax return or a no-activity form. The state revenue department and the secretary of state aren't the same office, and they don't always talk to each other.

Did you ever get an EIN? If you did, the IRS will expect a filing too, even with zero activity. That's a separate headache from the state stuff.

One more thing—if the LLC was administratively dissolved, the name might be available for someone else to take. Probably doesn't matter to you, but it's a reason people sometimes bother with formal dissolution instead of just walking away.

I'd pull the entity filing history online first, then call the secretary of state's office. They were actually helpful when I called. Took ten minutes to figure out exactly what I owed.

I did get an EIN back when I formed it. Never filed anything with the IRS. Never filed the annual report either, so the administrative dissolution sounds likely. I'll check the state search and go from there. The EIN point is the one I hadn't thought about.
