LLC Transfer

I want to transfer my Arkansas LLC to a new owner, where do I start?

I've decided to move on from my small custom woodworking LLC here in Arkansas. I have a buyer lined up who wants to take over the whole business, including the name. I've never sold a business before and I'm not sure what the first step is. Do I need a lawyer right away, or can I handle the paperwork myself? Any advice on where to start would be appreciated.

First thing I'd do is pull your LLC's formation documents and operating agreement. If you have an operating agreement, it might spell out how ownership transfers work. If you don't have one, that's a gap to address.

Also check with the Arkansas Secretary of State's office. They handle the filings for LLCs. A straight ownership change usually isn't just a name swap on the certificate. There may be an amendment or articles of merger depending on how it's structured.

I do have an operating agreement, but it's pretty basic and doesn't say much about transferring ownership. That's part of why I'm asking. Sounds like I should talk to a business attorney before signing anything with the buyer.

Not a lawyer, but I went through something similar a few years back. The attorney cost was worth it because there were tax implications I hadn't considered, especially around assumed liabilities.

Are you selling the LLC itself (membership interest) or just the assets? That changes the whole process. Asset sale means the LLC stays yours and you sell the stuff. Interest sale means the buyer steps into your shoes as owner.

Good point. If the buyer wants the name and the existing contracts, an interest sale is usually cleaner, but it also means they inherit any unknown liabilities. That's why due diligence matters on both sides.

It's the whole business. They want the name, the equipment, the client list. So I guess that's a membership interest sale. I hadn't thought about inherited liabilities. I'll bring that up when I meet with the attorney.

Don't forget the Arkansas Department of Finance and Administration. You'll want to sort out any outstanding state tax obligations before transferring. A clean tax record makes the closing smoother.

And check your local city or county business licenses. Some are non-transferable and the buyer will need to apply for new ones. That caught me off guard when I sold my shop.

I'd also look at any contracts you have with customers or suppliers. Many have clauses requiring consent before assignment. If a big client can walk because of a transfer, you want to know that early.

How is the buyer paying? Lump sum or seller financing? If you're carrying a note, the paperwork gets more involved and you'll definitely want an attorney drafting it.

RiverBendCustoms

Lump sum, thankfully. I don't want to be a lender on top of everything else. I'm gathering the formation docs and tax records now. I appreciate all the leads.

One more thing: file the appropriate amendment with the Secretary of State after closing. A lot of people handle the sale contract but forget to update the public record, and that creates confusion later.

The Secretary of State website has the forms listed. You can search by your entity name to see what's on file. Worth doing before you call anyone so you know exactly what needs changing.

This thread is actually helpful. I'm in a similar spot with a partnership interest, so I'm taking notes.
