I formed a single-member LLC about two years ago but never really used it. No bank account, no income, no debts, no assets. I just want to close it properly. I filed the articles myself in my state. What's the actual process? Do I need a lawyer or can I just file a dissolution form? I want to make sure I don't get in trouble with the state later.

Check your state's Secretary of State website. Most have a dissolution form you caan download. Since it's a single-member LLC with no assets or debts, it's usually straightforward.

You likely still need to file annual reports or pay franchise taxes until the dissolution is officially approved. Don't just stop filing and assume it's over.

Depending on state, you may need to publish a notice in a newspaper or send ntice to known creditors, even if you have none. Look up "administrative dissolution" vs "voluntary dissolution" for your state.

Also, the fInal annual report is usually required along with the dissolution filing. They often go together.

Do you have an EIN? If so, you may need to close the IRS account. Send a letter to the IRS stating the LLC is dissolved. It's not always mandatory but it's a good idea.

The IRS doesn't require you to close an EIN, but if you don't, you might still get notices. I'd send a short letter.

What state? That makes a big difference. Some states like California have a specific form and a fee. Others are simpler.

I filed in Delaware by the way. I saw online that Delaware requires a certificate of dissolution but I wasn't sure if there's a special form for no-asset LLCs.

Delaware is actually pretty easy for that. You file a certificate of cancellation. There's no specific form, you just draft it according to the statute. You can find templates online. The fee is $200 I think. But you need to make sure you're paid up on franchise tax first.

Delaware franchise tax for an LLC is $300 per year. If you haven't paid for the current year, you'll need to pay that before they'll accept the cancellation.

Check the Delaware Division of Corporations website. They hve a checklist. You may also need a final franchise tax report.

A lawyer isn't necessary For this. It's a simple filing. You can do it yourself. Just read the instructions carefully.

One thing: if you ever plan to do business in another state, make sure you withdraw your foreign qualification there first. But if you never registered elsewhere, you're fine.

After dissolution, keep your records for at least a few yeears. You never know if something could come up.

And close any business licenses or permits you might have. Even if you didn't use them, they might still be active and require renewal.

One more: if you had an EIN, you can close it by sending a letter to the IRS. Include the LLC name, EIN, and a statement that the LLC has been dissolved. Not strictly required but it prevents future correspondence.
