Registered my LLC last year using my apartment address because I was in a hurry. Now I'm getting weird mail and want to switch to a virtual office or registered agent service. What's the actual process? Do I file an amendment? I'm in Texas if that matters.
I registered my LLC with a home address and want to change it
In most states you just file a change of registered agent/office form. Check your Secretary of State website. It's usualy like $25-50. Not a big deal.
Why would you use your home address in the first place? That's like posting your SSN on Facebook.
Hey, sometimes you gotta do what you gotta do. I used my address for two years before switching. No one died.
Also, depending on your state, You might need to update your annual report or franchise tax info. In Texas it's the SOSDirect portal or a form 401. I think it's $15 to file online.
Virtual office is a waste of money. Just get a PO box. Nobody cares.
A PO box won't work for the registered agent address in Texas, actually. It has to be a physical street address. But you can use a registered agent service that provides one. I use one for my Etsy shop LLC and it's like $100/year. Worth it to stop the junk mail.
^^ this. PO box is useless for legal stuff.
Wait, you can just change it online? I filed an amendment last year and paid $150. Did I get scammed by a service?
Probably. Those 'LLC formation' sites love to charge a markup for simple filings. Always go direct to the state.
You young folks overcomplicate everything. Walk into the county clerk's office, hand them a form, pay the fee, done. No internet needed.
County clerk? It's the Secretary of State for LLCs, not the county. Unless you're talking about a DBA. Don't listen to this guy.
lol
So what's the actual form number for Texas? I'm seeing conflicting stuff on Google.
Form 401 is for change of registered agent/office. You can file it on SOSDirect. It's like $15. Don't pay a service.
Also update your address with the IRS separately. They don't automatically get it From the state. Form 8822-B. Otherwise your tax mail still goes to your apartment. Ask me how I know.
Alright, so looks like I need to file Form 401 with the state and also notify the IRS. And avoid PO boxes. Got it. One more thing: does changing the registered agent address affect my operating agreement? I'd rather not redo that whole document.
