I run a small cleaning company and almost submitted my LLC annual report with the wrong registered agent name. I had copied the form from last year and the agent had changed in between. Caught it two minutes before hitting submit. Now I'm wondering how many other people have done this and what actually happens if you file with bad info.
I nearly filed before checking the name properly
If the name is wrong but the address is still valid, the state usually processes it. The problem comes later when they need to reach the agent and can't. That's when penalties start stacking.
How far off was the name? Like a typo or a completely different person/company?
Completely different company. Old agent had been replaced months earlier.
I did something similar with a DBA filing. Used the wrong trade name because I had two versions in my notes. State accepted it, then sent a rejection letter three weeks later. Had to refile and pay again.
This is why I keep a printed copy of the current agent info taped inside a folder. Not fancy but it stops me from grabbing an old file.
Depends on your state. Some have an online portal that won't let you submit if the agent name doesn't match their records. Others don't validate anything until a human reviews it.
I work for a registered agent service. We see this constantly. The filing gets accepted, the state mails the annual report notice to the wrong agent, and the business owner never knows until a late fee appears. Then they call us angry.
That sounds like a nightmare. Is there any way to check the record after filing to make sure it went through correctly?
Most states have a business search on the secretary of state site. Pull up your entity and look at the registered agent field. If it doesn't match who you intended, file an amendment. It's usually cheap and fast.
And keep a screenshot of the confirmation page after you file. I've had to prove a filing date before when the state system showed something different.
The amendment route is what I ended up doing. Cost me forty dollars and a week of waiting. Less painful than a penalty.
Also worth calling your curren agent before you file anything. They usually know the exact wording the state expects for their name. Sometimes it's "Agent Name, LLC" and sometimes it's just "Agent Name" and the state system is picky about that.
Small thing but check the effective date too if your form has one. I nearly filed with last year's date still in the field because I copied an old PDF.
One more thing. If you use a commercial agent and they change their name or get acquired, the state record might not update automatically. You still have to file the change. A lot of people assume the agent handles it.
I pulled the business search after reading these. The record still shows the old agent from two years ago. I have the amendment form open in another tab now.
Good catch. Better now than after a penalty letter.
