I filed the articles of organization for my Oklahoma LLC about three years ago through the online portal. I just realized I never saved or printed the final stamped documents, and now I can't find them anywhere on my computer. I have the EIN and the LLC is still active. How can I get copies of the original filing documents? Do I need to request them from the Secretary of State? Any help would be appreciated.
I formed an Oklahoma LLC but forgot to keep copies of the filing documents
Oklahoma Secretary of State has an online portal where you can search your business and order copies. It's pretty straightforward. There migHt be a small fee, but they can send you a certified copy.
I've done this before. Go to the SOS website, find the business entity search, pull up your LLC, and there should be an option to request copies. You'll probably have to pay a few bucks per page. Not a big deal.
Just to add, you might also want to check if your registered agent has copies. Some agents keep filed documents for their clients. But if not, the state is the way to go. Also, for future reference, always save the confirmation email and the stamped PDF after filing.
I think you can also call the business filing department, and they can walk you through it. I had to get a copy of my articles last year and they were helpful.
Why do you need the coppies? If it's for a bank or something, sometimes they just want the filing number. But if you really need the document, the SOS is the source.
Also, if you filed online, you might have received an email with the articles attached. Search your email for 'Oklahoma Secretary of State' or 'articles of organization'.
I agree with checking email. I found mine in my old Gmail under the promotions tab. Never would have thought to look there.
One more thing: if you ever need to file an amendment or annual report, you'll prob ably need the filing number, so having the copy is good. But the SOS search gives you that number too.
I just checked the SOS website. There's a 'Business Entity Search', and then you click on your LLC name, and there's a 'Request a Copy' link. It's $1 per page for uncertified and $5 for certified, I think. Plus you can download immediately for some documents.
That seems easy enough. I wouldn't stress about it.
Just make sure you request the stamped version if you need it for official purposes. The plain copy might not be accepted by banks or other institutions.
