I filed my annual report for my LLC about three weeks ago and paid the fee. The state portal confirmed the submission and I have the receipt. But when I check the business search, it still says overdue and shows a past due date. Is this normal? Should I call them or just wait it out? I don't want to get hit with a penalty for something I already did.
I filed the report but the state still shows my LLC as overdue
Three weeks is a long time for a portal update. Did you you get a confirmation email with a filing number? Sometimes the public search lags behind the internal system by a week or two, but if it's still showing overdue after that, something may not have processed correctly.
Mine took almost a month to flip over last year. Same thing, receipt and all. I just kept the confirmation PDF in case anyone asked.
What state? Some are notoriously slow. California and New York have had backlogs. Also check if the report was actually accepted or just submitted — there's a difference. If the portal shows it as 'pending review' instead of 'filed', that could explain it.
You should call. I had a similar situation and it turned out my payment went through but the report itself didn't attach properly. They fixed it over the phone and the status updated in a couple days. Better to be proactive than wait for a penalty notice.
I wouldn't panic yet but I'd definitely keep a screenshot of the confirmation and the receipt. If a penalty shows up later, you can dispute it with that evidence. The state's own records should show the filing date.
This happened to me in Colorado. The report was filed but the system didn't link it to my LLC because I had an old address on file. Had to resubmit a change of address form. Not saying that's your issue, but worth checking if your contact info is current.
Three weeks is borderline. Most states say allow 5-10 business days for processing. If it's been longer than that, call. Don't email — you'll wait forever.
Check the effective date on the receipt. Sometimes they backdate the filing to the date they received it, but the public search only updates after manual review. If the receipt shows the correct date, youre probably fine.
I work in a related field and see this a lot. The public-facing business search is often on a separate database that syncs periodically. The internal system the agency uses is what matters for penalties. If your receipt shows filed and paid, you should be okay. But a phone call is still a good idea to confirm.
What does the business search actuall say? 'Overdue' can mean the report is late but not yet assessed a penalty, or it can mean a penalty is already attached. If there's a penalty amount showing, that's different from just a status label.
Call them. The longer you wait, the more likely it is that a penalty gets auto-generated even if it's their mistake. Most agencies will waive it if you have proof of timely filing, but you have to catch it before it goes to collections.
Any update? I'm curious how this turned out.
Sometimes the portal has a separate 'annual report' section that you have to click Into. The main dashboard might show overdue even if the report was filed under a different tab. I know it sounds dumb but I've seen it.
if you do call, ask them to send you a written confirmation that the report was received and accepted. That way you have something official if the status doesn't update.
