LLC Filing

How do I download my LLC certificate from the state website?

I formed my LLC about six months ago and now need the certificate for a bank. I went to the secretary of state site but it just shows a filing history and some PDF links that look like receipts. Is there a separate certificate download? I'm in Oregon if that helps.

Oregon doesn't issue a standalone certificate of formation the same way some states do. What you likely need is a certified copy of the articles of organization. On the business registry search, pull up your entity and look forr a 'certified copy' option or an order form.

i bank with a small regional and they accepted the stamped articles PDF. Mine was in the filing acknowledgment email.

I found the acknowledgment email but the bank said it wanted something with the state seal or a certification. The registry only shows the plain PDF.

You usually have to order a certified copy and pay a small fee. In many states it's not an instant download. Check the 'business services' or 'forms and fees' area of the state site for a certified copy request.

Are you sure the bank needs a certificate? Sometimes they accept the articles plus an EIN letter. Might save you a fee.

Quick correction: Oregon does not provbide certificates of good standing for LLCs? I thought they did. Either way, certified copies of the articles are what I've used.

Harborlight, they do offer a certificate of existence but it's separate from formation docs. The bank may want that instea. The request is through the same business registry portal under the entity's page.

Thanks. I don't see a certificate of existence button. Maybe I need to be logged into the account I filed with?

Some states separate the public search from the filer account. Log into the business portal, not just the public search. If you filed through a registered agent service, they may have the certified copy already.

I filed mine directly and the portal has an 'order documents' tab after login. It's not obvious. Costs $5 or $10. Took a few days, not instant.

What bank is asking for this? Just curious because mine only wanted the EIN letter and articles.

It's a local credit union for a business checking account. They specifically listed 'certificate of formation or certified articles' in their checklist.

Credit unions can be picky. Ask the banker if a stamped copy from the state is acceptable. Sometimes they just need proof the LLC exists and is active.

If you still can't find it, call the secretary of state business line. They're actually helpful and can tell you exactly which form to submit. I've had better luck calling than searching the site.

One more thing: the certificate of existence might be called a 'status report' or 'annual report receipt' in some systems. Don't confuse the annual report with formation docs.

I'll try logging in and look for the order documents tab. Appreciate the help. If I find it I'll update.
