Can a Maryland LLC have members who live outside the United States?

Hey all, I'm planning to start a small LLC in Maryland for an online business, but I'll be living abroad for the next few years. I read that LLCs can have non-US members, but I'm worried about specific Maryland rules. Has anyone done this or know if Maryland allows foreign members? Any advice would be appreciated!

Pretty sure Maryland doesn't care where your members live. The state just wants your filing fees.

To add to what TerpTrail said, I think the IRS is the bigger concern. You'll need an ITIN or EIN, and might have to deal with withholding taxes. But state-wise, Maryland is pretty chill.

Why would you want a Maryland LLC if you're not even in the US? Seems like a headache. Just use a diffeerent state.

NightOwlNina

BaysideBum, maybe they have a physical presence or prefer Maryland's laws. It's not that crazy.

I formed a Maryland LLC last year with a partner in Canada. No issues at all. Just make sure you have a registered agent with a physical address in MD.

TerpTrail

CrabsAndCoffee, how did you handle the operating agreement? Did you list the foreign address?

CrabsAndCoffee

Yep, just put the Canadian address in the operating agreement. No one batted an eye.

Still seems Like a lot of extra paperwork. Good luck though!

Thanks for the info, everyone. So it sounds like Maryland doesn't restrict foreign members. But what about the registered agent requirement? Can that be a service?

TerpTrail

Yes, you can use a registered agent service. They'll charge a fee but handle the mail.

CrabsAndCoffee

Exactly, and make sure you file the annual report. Maryland's not too picky about member residency, but they are picky about deadlines.
