Can a full-time employee own an LLC on the side?

I work 9-5 as a software dev, but I've been doing freelance design work on weekends and it's starting to bring in real money. I want to form an LLC to protect myself and maybe separate finances. But I'm worried my employer might have an issue with it. Does anyone here have experience owning an LLC while employed full-time? Any legal or HR pitfalls I should know about?

depends on your employment Contract. some have moonlighting clauses that require approval or ban side businesses entirely. check that first before you file anything.

I've had an LLC for three years while working full time in healthcare. Not an issue for me because my side thing is completely unrelated to my day job. But if you you're doing design and your employer is a tech company, they might claim ownership of your work if it overlaps. Read your IP agreement carefully.

LLC is just a legal entity, it doesn't magically conflict with your job. The conflict is if your employer has policies about outside work. Ask HR? No, don't ask HR. That's like asking a cop if you can speed.

I've seen people get fired for this. Not because of the LLC itself, but because they used company time or resources. Keep it strictly separate and you'll probably be fine. Also, don't put your side business on LinkedIn if your boss follows you.

Is forming an LLC even necessary? If you're a solo freelancer, a sole prop is simpler and you can still get liability insurance. Unless you have significant assets to protect or clients who insist on an LLC, it might be overkill.

caffeinated_dev

sole prop doesn't protect your personal assets though. LLC does. That's the whole point.

startup_sam

True, but for a side gig doing design work, the risk is low. Unless you're doing something that could get you sued, the LLC might just add paperwork and fees. I'm not saying don't do it, just weigh the cost.

Also consider taxes. An LLC can be taxed as a sole prop, partnership, or S-corp. If you're just starting, sole prop taxation is default. But you might want to elect S-corp later to save on self-employment tax. Talk to an accountant.

grumpyoldfart

Accountant? For a side hustle? Just use TurboTax and pray.

justjoshin

Praying is free, bht an accountant might save you more than they cost. Especially if you're making decent money.

Thanks for the input, everyone. i checked my contract and there's a clause that says I need written approval for any outside business that competes or could be seen as competing. My side work is design but my employer is a SaaS company, so it's not directly competing. But the wording is vague. I think I'll just keep it under the radar and not form the LLC yet. Maybe just keep it as a sole prop for now and see how it goes.

caffeinated_dev

That clause is common. 'Could be seen as competing' is super broad. You're smart to be cautious. Just document everything and keep your side clients separate. Good luck

One more thing: if you do form an LLC later, make sure you open a separate business bank account and don't commingle funds. Otherwise you risk piercing the corporate veil. But you probably know that.

grumpyoldfart

Veil piercing sounds painful. Anyway, good luck with the side hustle. Don't get fired.
